Terms and Conditions

Effective date: On publication of this version at toolving.com/terms.

These terms govern your use of Toolving: the hosted Conceiver API, the account workspace and playground at toolving.com, the guided demos, the Python SDK and the Conceiver agent harness (together, the "Service"). Toolving is a product of Hydra Dynamix Inc. ("Hydra Dynamix", "we", "us").

By creating an account, signing in, creating an API key or calling the API, you agree to these terms. The Privacy Policy explains how we process personal data. If you use the Service for an organization, you confirm that you can bind that organization, and "you" means both you and it. If you do not agree, do not use the Service.

1. Eligibility

We do not set a fixed minimum age. You must have the legal capacity to agree to these terms, or use the Service with a parent or legal guardian who can agree on your behalf where applicable law permits. Any consent required by applicable law must be obtained. You may not use the Service where the law prohibits it, or if we have previously closed your account for a breach of these terms.

2. Your account

You sign in through our identity provider, Clerk. Keep your sign-in methods secure and your details accurate. You are responsible for activity under your account, including activity through your API keys, until you tell us about unauthorized use at admin@hydradynamix.com.

3. API keys

API keys let your servers and agents call the API on your account's behalf.

  • We show a new key once. We keep only a one-way hash, so we cannot show it to you again.
  • Keep keys on servers you control. Do not put them in browser code, public repositories or shared logs.
  • You can revoke a key at any time from API keys in your workspace. Revocation takes effect immediately.
  • Usage made with a key is charged to your account, whoever made it, until you revoke the key.

4. Credits, plans and payment

Credits. API usage is paid for with credits from one prepaid balance, at $20 per million credits. A successful standard prediction or retrieval costs 1 credit, a successful memory-enabled query with episodic recall costs 2, and a successful teaching operation costs 5. Sending inputs and receiving evidence costs nothing extra. Reading receipts, existing memory and exports costs nothing.

Signup grant. A new account receives 250,000 credits once. They are not refilled, do not roll over to a new account, and cannot be transferred or exchanged for money.

Purchases. The smallest prepaid purchase is $5. Purchased credits keep their face value and do not expire when prices change. An operation we have accepted keeps the price quoted when we accepted it.

Plans. Developer costs $29 a month or $290 a year and adds 2,000,000 credits a month with 2 GB of storage. Pro costs $49 a month or $490 a year and adds 3,500,000 credits a month with 10 GB of storage. The Free plan has no persistent model storage; account records, learning history and receipts are retained as described in section 6. Plan credits are granted once for each month of an active subscription and roll over. Subscriptions renew automatically until you cancel them in the billing portal.

Additional storage. If you explicitly authorize it, storage above your plan's allowance costs $0.50 per GB-month, prorated, and is billed at the end of each calendar month (UTC). Cancelling stops new overage charges; charges already accrued remain payable.

No negative balance. When your balance cannot cover a new operation, the API refuses it (HTTP 402). We never top up your balance automatically.

Payment processing. Stripe processes payments. You authorize us, through Stripe, to charge your payment method for purchases, subscriptions and authorized storage. Prices are in US dollars and exclude applicable taxes, which are shown before you confirm payment.

Refunds. Plan payments are refundable within 30 days of payment, no questions asked. Pay-as-you-go purchases are refundable in proportion to the purchased credits that remain unused, based on the price paid for those credits. Used credits and free or promotional credits have no refundable cash value. Request a refund at admin@hydradynamix.com. These terms do not limit any refund rights required by law.

Price changes. We may change prices for future purchases and renewals. We will give notice of a subscription price change before it applies to your next renewal.

5. Your content

"Your content" is everything you send to the Service: questions, answers, corrections, teaching pairs, JSON values, training sequences, files you import, and the step data the agent harness sends.

  • You keep all rights in your content.
  • You give us a limited licence to store, process and transmit your content only to run the Service for you: to answer your requests, learn into your account's private model, keep receipts, bill you, back up the Service and keep it secure.
  • Your learning goes into your account's private model. We do not use it to teach models that serve other accounts.
  • You confirm that you have the right to send your content to us and that sending it does not break the law or anyone else's rights. Do not send secrets, payment card data, health records or other sensitive personal data unless you are permitted to and it is necessary.

6. Storage, cancellation and deletion

Without storage, a Conceiver instance and its episodic memories are discarded when the instance retires. With storage, the instance's learned state is saved as a private artifact that a fresh instance can load.

Cancelling a subscription does not delete your learning or your exports. We keep your account data until you ask us to delete it. You can export available learning history from Settings and download saved training sequences. Retiring an instance without storage removes its live state and the associated entries from the user learning-history export; operation receipts and instance event records remain. To delete your account and its data, contact admin@hydradynamix.com. The Privacy Policy explains what we keep and for how long.

7. Predictions and evidence

Conceiver predicts from what your account has taught it. It returns evidence for each answer and abstains when it cannot support one, but it can still be wrong. You decide whether to act on an output. Check outputs before using them for anything with legal, financial, safety or similar consequences. Tool calls shown in the guided demos are simulations; nothing is executed.

8. The SDK and the agent harness

The Python SDK and the Conceiver agent harness are distributed under their own licences, which govern the software itself. These terms govern the hosted Service they connect to.

The agent harness runs on your machine. In its default learning mode it changes nothing your agent does. In active mode it can run learned steps on your machine with your agent host's permissions. You choose the mode and keep your host's sandboxing in place. You are responsible for the steps run on your machines.

9. Acceptable use

Do not:

  • break the law, or infringe or misuse anyone's rights or data;
  • probe, scan or test the Service's security, or disrupt it, except through a disclosure process we agree to in writing;
  • get around authentication, credit metering, storage limits or rate limits;
  • access another account's data, or share keys so that people outside your organization can use your account;
  • resell or provide the Service to third parties as a standalone API without our written agreement;
  • use the Service to build malware, to harass people, or to make decisions about people that require human review under applicable law without that review;
  • send automated traffic intended to overload the Service.

10. Demos, the playground and the Workflow Workshop

Guided demos start fresh each time they load and keep an audit history for your account. A free signup enters you in the monthly Workflow Workshop selection. Each month we select one workflow problem and work with the participant over seven days to document the workflow and build an automation. Selection does not require you to participate. Before participation, we will agree separately with you on the scope of work and obtain separate consent before recording or publishing your participation. That consent will identify any proposed promotional footage, tutorial or open-source solution code. Creating an account or accepting these terms does not itself authorize recording or publication of your identity, content or workflow.

11. Feedback

If you send us suggestions or feedback, we may use them without obligation to you.

12. Our rights

We own the Service technology, documentation and Toolving and Hydra Dynamix names and marks, subject to applicable third-party and open-source licences. This does not transfer ownership of your content to us or expand the limited licence in section 5. These terms give you a right to use the Service, not ownership of it. We keep all rights not expressly granted.

13. Third-party services

The Service relies on third parties, including Clerk for sign-in and Stripe for payment. Their own terms govern your use of them. We are not responsible for third-party sites we link to.

14. Changes

We may change, suspend or retire features. If a change removes something you pay for, we will tell you in advance where we reasonably can. We may update these terms; we will post the new version here with a new effective date and, for material changes, notify account holders by email to the address associated with your account. Continuing to use the Service after the effective date means you accept the update.

15. Suspension and termination

You can stop using the Service and cancel your subscription at any time. We may suspend or close your account if you materially breach these terms, if your use puts the Service or others at risk, or if the law requires it. Where we reasonably can, we will tell you first and give you a chance to export your data. Amounts owed under section 4, and sections 5, 6, 7, 11, 12 and 16–20, survive termination.

16. Disclaimers

Except as these terms expressly state, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that any output will be correct.

17. Liability and statutory rights

Liability arising from these terms or the Service is determined under applicable law. These terms do not impose a monetary cap or exclude categories of damages otherwise recoverable under applicable law.

Nothing in these terms, including the disclaimers or indemnity provisions, waives or limits your rights, benefits, protections or remedies under British Columbia's Business Practices and Consumer Protection Act where it applies, or under any other applicable law that does not permit those rights to be waived or limited. If these terms conflict with those protections, the applicable law prevails.

18. Indemnity

You will defend and indemnify Hydra Dynamix against third-party claims arising from your content, your use of the Service in breach of these terms, or steps run on your machines by tools you configured, and pay resulting losses and reasonable costs.

19. Governing law and disputes

These terms are governed by the laws of British Columbia and the applicable federal laws of Canada. Disputes may be brought before a court or tribunal with jurisdiction in British Columbia, without limiting any right under applicable law to bring a claim elsewhere. After a dispute arises, you and we may voluntarily agree in writing to resolve it through arbitration, including agreement on the arbitrator, procedure and costs. These terms do not require arbitration or waive access to courts, tribunals, regulators or class proceedings.

20. General

These terms and the Privacy Policy are the whole agreement between you and us about the Service, unless we sign a separate agreement with you. If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver. You may not assign these terms without our consent; we may assign them in a merger, acquisition or sale of the Service.
